<h2>Brief Introduction</h2>



<p>e-invoicing has become a popular trend in indirect taxation in the past few years in the world. The major and important reason to implement GST is to curb tax evasion from the country and to have transparent and real or near real-time reporting to the government for every transaction made by businesses. It gives a clear image of the businesses&#8217; taxation compliance or tax obligations to the government. Many countries have already implemented e-invoicing systems. Now government of India has also introduced an e-invoicing system in the country.</p>



<h2>What is e-invoicing?</h2>



<p>Electronic invoicing or e-invoices is the reporting and authentication of the B2B (Business to Business) invoice generated by a registered person on its existing billing system on IRP (Invoice Registration Portal).</p>



<p>When invoices are authenticated by the IRP (Invoice Registration Portal), a unique IRN (Invoice Registration Number) also known as Hash is generated and invoices are digitally signed and a QR code is added to it, which is then called the generation of an E-invoice.</p>



<p>The <a href="http://einvoice1.gst.gov.in" target="_blank" rel="noopener" title="">first portal</a> launched by NIC is on the direction of the GST council. Many other portals will be issued for the smooth working of the system. Cygnet is one of the IRPs.</p>

<h2>How does e-invoicing differ from regular invoicing?</h2>



<p>e-invoicing does not mean digital invoicing or invoice creation on a government portal, or a digital copy of an invoice issued through some software or portal. It means authentication of the regular invoice which is already issued by the registered person in its existing Invoice Generation software or system.</p>



<p>When the required details are uploaded and verified on the IRP, a unique IRN &nbsp;of 64 digits and a unique QR code containing the required details of the invoice are generated along with a digital signature attached to the invoice.</p>



<h3>When did e-invoicing come into force in India? To whom it is applicable and who is exempted?</h3>



<p>In its 37th meeting on 20th September 2019, the GST Council recommended the introduction of electronic Invoices (‘e-Invoice’) in GST in a phased manner&nbsp;based on the annual aggregate turnover (AATO) of the business. The first phase of e-invoicing was made applicable from 1st October 2020.</p>

</ul>



<p>In the first phase, covering the big industries having business annual aggregate turnover (AATO) exceeding 500 crores were required to generate E-invoices from 1<sup>st</sup>&nbsp;October 2020.</p>



<p>The Second Phase, covering Medium Enterprise, was introduced on 1st January 2021, for the business whose annual aggregate turnover (AATO) exceeding 100 crores was required to generate an E-invoice.</p>



<p>The Third Phase, covering the small manufacturing and service units, was introduced on 1st April 2021, for the business whose annual aggregate turnover (AATO) exceeding 50 crores was required to generate E-invoice.</p>



<p>In the Fourth Phase, introduced on 1st April 2022, the businesses whose annual aggregate turnover (AATO) exceeded 20 crores were required to generate E- -invoices.</p>



<p>In the Fifth Phase, introduced on 1st October 2022, businesses whose annual aggregate turnover (AATO) exceeded 10 crores were required to generate E- -invoices.</p>



<p>Currently, the <strong>Sixth Phase</strong>&nbsp;is made applicable from 1st August 2023, covering small and micro manufacturing and service units, to businesses whose annual aggregate turnover (AATO) exceeds 5 crores are required to generate E-invoices.</p>



<h2>Taxpayers Exempted from e-invoicing</h2>



<ul>
<li>Businesses having AATO below 5 crores.</li>



<li>SEZ units</li>



<li>An insurer, banking company, or financial Institution including NBFCs.</li>



<li>Goods Transport Agencies (transportation of goods by road in a good carriage)</li>

</ul>



<p>The GST council provides a standard format known as the E-invoice Schema. Schema is a standard format for E-invoice which has all details like commercial invoices. This Schema format in GST is as per <strong>Form GST INV-01</strong>.</p>



<p>There are 12 sections (5 mandatory) and six annexures (2 mandatory) comprising 138 fields. The scheme ensures that the E-invoice is machine-readable and interoperable i.e., invoices can be exchanged between different systems and software.</p>



<p>This schema has mandatory as well as optional fields. IRN is generated after the validation of such mandatory fields.</p>

<h2>How is an E-invoice Generated?</h2>



<p>The steps to generate an E-invoices are as under:</p>



<ul>
<li>Taxpayers can generate regular invoices in its existing billing system. However, the invoice must contain all mandatory fields required.</li>
</ul>



<ul>
<li>All the invoices generated need to be uploaded to the <a href="https://einvoice3.gst.gov.in/home">IRP portal</a>&nbsp;to validate and generate IRN. The following methods can be used for uploading invoices:</li>
</ul>



<ol>
<li>Use of online utility provided in the E-invoice portal to fill in the details online.</li>



<li>Bulk generation tool provided in E-invoice portal, where a JSON file of invoices can be uploaded.</li>



<li>Invoice JSON uploads through directly integrating taxpayers&#8217; system through API or GPS (GST Suvidha Provider like Cygnet).</li>
</ol>



<ul>
<li>IRP will generate a unique 64-digit IRN also known as Hash after validation of mandatory fields and add a QR code and digital sign in the output JSON.</li>
</ul>



<ul>
<li>The information of the E-invoice shall be shared with the GST Portal and E-way bill automatically on the generation of IRN.</li>

<p>With the integration of the GST portal, e-invoice portal, e-way bill portal, and that of the registered person’s system, all required information is shared seamlessly and gets auto-populated wherever required and the chances of mismatch in data which earlier occurred due to manual punching of entries or missing invoices or entries will be minimized thereby reducing the gaps in reconciliations (GSTR-1 vs GSTR-3B, GSTR2B vs Books of accounts, GSTR-1 and GSTR-3B vs books of accounts, etc.) which are important for tax payment and ITC availment.</p>



<h3>Mitigation of fraudulent Invoices</h3>



<p>The invoices issued by the supplier are authenticated on IRP, any fraudulent or misleading information provided in invoices will be identified and the invoice will not get validated. Further e-way bill is auto-populated based on e-invoice information which reduces the risk of transportation of goods and issuance of invoices to different parties, or only issuance of invoices without actual transportation of goods for fraudulent availment of ITC.</p>

<p>With e-Invoicing, every transaction conducted by businesses becomes more transparent and can be easily traced. This helps tax authorities to keep track of crucial transactions to detect any malpractice and prevent any move towards tax evasion more effectively,</p>



<h3>Easier to generate an e-way Bill</h3>



<p>When the invoices are reported on the IRP, the data of the invoice is automatically transferred to the e-way bill portal, and the details in Part A of an e-way bill will get uploaded automatically from the e-invoice. Without any manual punching and error, information is auto-populated in an e-way bill due to the integration of the e-invoice portal with the e-way bill portal. &nbsp;Now the taxpayer just needs to update Part B of the e-way bill; the details of the transporting vehicle, which makes it quick to generate an e-way bill.</p>

<p>E-invoice generated from IRP is not just a document but is a set of data that can be made available digitally to any required person. As the e-Invoices are generated in a standard format, the invoice generated from one software can be read by a different software as well. <h3>Improved Input Tax Credit Claims (ITC)</h3>



<p>ITC can be claimed to the extent it is available in GSTR-2B. When the invoice is reported on the IRP, the data of the invoices are transferred to the GST portal, and the field of GSTR-1 is auto-populated which is reflected in GSTR-2B of the recipient. Therefore, during the reconciliation of GSTR-2B with the purchase entries accounted in ERP, the chances of mismatch due to errors in manual entry in GSTR-1 will be eliminated and will help in claiming accurate and correct ITC.&nbsp;</p>

<h2>e-Invoice Implications for Businesses</h2>



<p>Due to the tech-driven competitive market, businesses are already moving towards automation and digitization for the efficiency of business processes, to ensure <a href="https://www.cygnetirp.in/blog/e-invoicing-security-best-practices-to-protect-financial-data/">data security measures</a> and compliance with law. For such businesses, the e-Invoicing system won’t entail many changes to the way businesses are issuing invoices presently and would also continue to see the physical or electronic (PDF, etc.) output of the invoices in the same manner as it is today.</p>



<p>Necessary changes to enable such reporting of invoices to IRP and obtain IRN will have to be made by ERP/Accounting and Billing Software providers in their respective software or the taxpayer can take services of GSPs as well, to report invoice data to IRP.</p>



<h2>Challenges of e-Invoices</h2>



<h3>Tax evasion in B2C transactions</h3>



<p>E-Invoicing has been implemented only for B2B transactions. An e-invoice is not required when goods or services are provided to end customers i.e., for B2C transactions. However, <a href="https://www.cygnetirp.in/blog/e-invoicing-qr-codes-for-b2c-transactions/">QR codes for B2C transactions</a> are mandatory for businesses having aggregate turnover of Rs. 500 crore or more but they cannot provide complete accuracy and authenticity of invoices. Therefore, tax curbing can be done in such transactions which can affect the tax collection of the government as well as the business of other genuine organizations.</p>



<h3>Cancellation and amendments of e-Invoices</h3>



<p>E-Invoices cannot be modified or corrected. It needs to be cancelled even for a small error that to within 24 hours of its generation provided that the e-way bill is not generated. After 24 hours, no changes can be made to the IRP portal. this invoice can be correctly reported at the time of filing of GSTR-1 on the GST portal. Further, IRN cannot be generated for cancelled invoice numbers therefore, along with correcting the error taxpayer also has to change the invoice number and perform the entire process again which is tedious and time-consuming.</p>



<h3>Storing of e-Invoices</h3>



<p>E-Invoices are stored in IRP for only 24 hours after their generation, therefore, the taxpayer has to arrange and integrate an alternate system or solution for archival of invoices.</p>



<h3>Increased number of reconciliations</h3>



<p>The financial and accounting departments were already performing many reconciliations for accurate and correct reporting and tax compliance. Now with e-Invoicing, businesses have to perform more reconciliations like e-Invoices, and regular invoices v/s GSTR-1, e-invoice generated v/s IRN generated, e-Invoices v/s e-way bill, e-Invoices and regular invoices received v/s GSTR-2B, etc. ensuring <a href="https://www.cygnetirp.in/blog/ensuring-compliance-with-e-invoicing-regulations/">compliance with e-Invoicing regulations</a>.&nbsp;</p>



<h3>Compliance Burden</h3>



<p>Understanding the rules and regulations and exactly what the government requires is at times very difficult. With numerous amendments in format and requirements of e-Invoicing, it is difficult for businesses to understand the exact government requirements and follow them accordingly which will result in a lack of e-Invoicing compliance.</p>

<p>Invoices, in general, are commercial documents that depict the transaction between a buyer and a seller and entail all the necessary details related to the said transaction. E-invoicing, or Electronic-Invoicing, is a system under which taxpayers having an annual turnover above a specific threshold are required to report B2B (Business-2-Business) invoices and export B2C (Business-2-Customer) invoices to the Invoice Registration Portal (IRP) to generate a unique reference number call Invoice Registration Number (IRN) which is used to identify and differentiate each transaction from another.</p>



<p>e-Invoice reporting has only been mandatory for B2B transactions and has recently been suggested for B2C transactions simply to make them easy to refer to. QR codes for B2C invoices do not need to have an IRN or upload these invoices to the IRP as they will simply be rejected by the portal. An IRN is a unique identification number used to track B2C transactions since e-invoicing isn’t conducted for them. It enables the government to easily get a hold of and refer to the details on B2C transactions when necessary.</p>



<p>This process was developed to promote a more digitalized form of conducting payments via a UPI (Unified Payments Interface). Developed by National Payments Corporation of India, this interface enables easy inter-bank, peer-to-peer, and person-to-merchant transactions to be conducted.</p>

This is because B2C invoices are only prepared for the reason of simply tracking the transactions. While B2B transactions occur on a much larger scale, with a possible purchase of enumerable goods with multiple companies, there is only 1 B2C transaction where the finished product is sold to the customer. So, there isn’t a need to report them per se, but just have them ready for any reference if ever needed.</p>



<p>Here’s how dynamic QR codes for B2C transactions work:</p>

<li>The business generates an electronic invoice for the customer, containing all the relevant details such as the transaction amount, invoice number, and due date.</li>



<li>The B2C invoice shall include a QR code that represents the payment information.</li>

<h2>Who should and should not generate E-Invoices</h2>



<p>All taxpayers with an annual turnover of more than Rs. 500 crores in any of the financial years post 2017-18 are compulsorily required to generate QR codes for any B2C transactions conducted after the 1<sup>st</sup> of December 2020. Failure to comply with this before the 31<sup>st</sup> of March 2021 would result in a penalty of Rs. 25000.</p>



<p>However, there are certain businesses and industries that are not required to generate E-invoices. Exempted suppliers include insurance companies, banking businesses or financial organizations, non-banking financial corporations, goods transport agencies, passenger tickets by transport businesses, movie tickets by multiplex screens, and non-residents making Online Information Database Access and Retrieval services.</p>



<p>Exports of goods or services to unregistered people also do not require dynamic QR codes as these are considered B2B transactions and therefore only e-Invoicing shall apply to such transactions.</p>
